How do I vote my BLUE proxy or Voting Instruction Form (VIF)?

All shareholders (including registered shareholders, Canadian beneficial shareholders, and U.S. beneficial shareholders) are able to vote their BLUE proxy or voting instruction form by one or more of the following methods:

  1. Vote by internet
  2. Vote by fax
  3. Vote by mail
  4. Vote by telephone

Information for Registered Shareholders

A registered shareholder (a shareholder who holds a physical share certificate and whose name appears on such certificate) will receive, or will have already received a BLUE form of proxy. Casting your vote with the BLUE proxy is an easy process.

Information for Non-Registered (Beneficial) Shareholders

In the majority of cases, shares are beneficially owned by a Holder through a broker, and registered either in the name of an intermediary or depository. If you are a non-registered shareholder (you do not hold a physical share certificate with your name appearing on the certificate), then you may indicate your voting instructions via the BLUE Voting Instruction Form (VIF).

Pershing Square has distributed copies of the Circular and a BLUE form of proxy or voting instruction form to the intermediaries or designates for onward distribution to Non-Registered Holders in connection with the Meeting. Unless you have waived the right to receive them, intermediaries are required to forward copies of the Circular and form of proxy or voting instruction form to all Non-Registered Holders.

If you are a Non-Registered Holder and have received these materials, please sign and return the BLUE form of proxy or voting instruction form according to the directions provided and set out in the form you received.

Please ensure that your instructions respecting the voting of your shares are communicated to your intermediary by the appropriate time. A Non-Registered Holder cannot use their proxy form or voting instruction form directly at the Meeting. However, if you are a Non-Registered Holder, you still have the right to attend and vote your shares directly at the Meeting. Please refer to the corresponding instructions on the form for more information.

What is the “Universal” BLUE Proxy?

Pershing Square is using a “universal” form of proxy. This means that the proxy, or voting instruction form you receive, includes the names of all of the director nominees, as well as all other matters, to be considered at the Meeting.

We recommend that you only use the BLUE proxy regardless of how you propose to vote. Pershing Square urges shareholders to complete, sign and return only the BLUE proxy form or voting instruction form and IGNORE any white form of proxy received from Canadian Pacific.

Pershing Square recommends that you:

  • Vote FOR the election of all seven Nominees for Management Change as Directors of Canadian Pacific.
  • Either WITHHOLD your votes from the election of all 15 Incumbent Management Nominees or vote for up to nine whom you believe will work cooperatively with the Nominees for Management Change.
  • Vote AGAINST acceptance of Canadian Pacific’s approach to executive compensation (Say on Pay).
  • Vote FOR the reappointment of Deloitte & Touche LLP as the auditor of Canadian Pacific and to authorize the Board to fix its remuneration.

When is the Shareholder Meeting?

The Canadian Pacific Railway Shareholder Meeting is scheduled for May 17, 2012.

When is the latest time I’m able to vote my blue proxy or voting instruction form?

We strongly urge you to vote your BLUE proxy before May 16, 2012.

In order to be deposited with the Company’s registrar and transfer agent in time to be used at the meeting, your BLUE proxy or voting instruction form must be voted online, by fax or returned by mail so that it is received by Kingsdale Shareholder Services Inc. prior to 9:00 AM (Toronto time) on May 16, 2012. However, we will make every effort to continue to accept and tabulate votes received up until the time of the Meeting.
